Terms of service
1. Agreement
By engaging EsitoLabs for community agent services, you agree to these terms. The engagement is formalised through a written or email confirmation between EsitoLabs and the client organisation.
2. Services
EsitoLabs provides AI-assisted community management services including agent build, deployment, Grounding Build construction, and ongoing maintenance. Services are described in the scope agreed during onboarding.
"Grounding Build" means the structured brief of five files (persona, brand knowledge, category knowledge, tone guide, and guardrails) constructed during onboarding, previously referred to in EsitoLabs documentation as the knowledge base. The terms refer to the same deliverable.
EsitoLabs does not post content directly to any platform. All posting is performed by the client from client-owned accounts.
3. Client responsibilities
The client is responsible for:
- Reviewing and approving all drafts before posting
- Maintaining their own platform accounts (Reddit, Facebook, forum registrations)
- Complying with the terms of service of the communities where the agent operates
- Managing their own tool subscriptions and API keys
- Ensuring approved content complies with applicable laws and regulations
4. Intellectual property
The client owns all content approved and posted by the client. The client owns the Grounding Build files constructed during onboarding. EsitoLabs retains ownership of the agent architecture, workflows, and proprietary methods.
5. Confidentiality
Both parties agree to maintain the confidentiality of the other party's non-public information shared during the engagement, including brand briefs, pricing, and business strategy.
6. Limitation of liability
EsitoLabs is not liable for outcomes resulting from client-approved content, platform policy changes, account actions taken by third-party platforms, or business outcomes resulting from community engagement activity.
7. Termination
Either party may terminate the engagement with 30 days written notice. On termination, EsitoLabs will suspend the agent within 30 seconds of confirmed request. The client retains all Grounding Build files, draft history, and tool accounts.
8. Governing law
These terms are governed by the laws of England and Wales.
